THE WORKSPACE GUIDE

A clear next step,
at every stage.

DeckToClose brings a private issuer workflow into one place. The public demonstration uses fictional records. Your live workspace starts empty, with private storage and account-based access.

Pricing and discount codes

DeckToClose costs $100 USD per month per issuer account. The plan covers the workspaces owned by that account; invited investors use their portal for free. Current limits are 20 workspaces per issuer account, 200 document records per workspace and 10 MB per uploaded file.

Open Billing to view your plan or apply a discount code. A complimentary code provides an ongoing 100% discount, with no card required and no automatic paid renewal. Codes are checked and saved to your signed-in issuer account.

Paid checkout is available only when billing has been enabled. If the page says paid checkout is unavailable, you cannot be charged through that page. When subscribed, use Manage subscription & invoices to update payment details or cancel. An open checkout must be canceled before applying a complimentary code; an existing paid subscription must end first.

An active plan is required to create workspaces or make ordinary issuer changes. You can still read and export existing records and restrict investor access when your plan is inactive. Invited investors can continue using their existing portal.

For issuer teams

  1. Open your workspace and sign in with ChatGPT. Activate your account in Billing, then create a workspace using the issuer’s legal name, currency, target and closing date.
  2. Add a known investor using their exact sign-in email. Document the relationship and approve access only after your own assessment. Copy the private invitation link from the investor’s Details tab and share it directly. Links are not emailed automatically.
  3. Upload current, issuer-approved materials. PDFs, XLSX, DOCX and CSV files up to 10 MB are supported. Subscription agreements and wire instructions must be PDFs. Never upload secrets or bank login credentials.
  4. Review the investor’s questionnaire and legal details. Record the basis for your decision, including the information considered. Self-certification alone does not establish the issuer’s reasonable belief.
  5. After counsel approves the subscription document, enable electronic execution in Settings. The investor signs the exact uploaded PDF and receives an electronic signature record. Keep that record together with the original PDF.
  6. Countersign after reviewing the current investor execution. Release wire instructions only after independent verification through a known issuer phone number. Record received funds only after your own bank reconciliation, then complete the closing.

For invited investors

Use the invitation link supplied by your issuer, and sign in with the email named in that invitation. Follow the seven steps: access, acknowledgement, materials, accreditation, investor details, signatures and closing. Your issuer controls access, reviews qualifications and accepts subscriptions.

Ask questions through the private message panel. Messages are saved in the workspace; email notifications are not currently sent. You can download the original documents and electronic signature records for your own files.

When a step is unavailable

An access or review gate is intentional. Your issuer may need to approve your relationship, review your questionnaire, request additional information or publish counsel-approved documents. A new subscription document requires a new signature. Changes to material investor details require another review.

Protect your instructions

DeckToClose does not hold or transfer funds. Before wiring money, independently confirm instructions using a trusted phone number you already know. Do not rely on a message announcing changed banking details. An issuer-recorded receipt is not independent bank verification.

Your records and privacy

Issuers can export structured records from Activity or Settings. Contact your issuer through the private message panel for corrections, access questions, retention requests or a copy of your records. If you cannot access an invitation, contact the issuer through your existing relationship.

What the platform does not do

DeckToClose is workflow software. It does not discover investors for you, recommend securities, make accreditation decisions, provide legal advice, hold funds, or file regulatory notices. The supported workflow is Rule 506(b) with an issuer-selected accredited-investor-only policy. Issuers remain responsible for their offering documents, regulatory obligations and decisions.
