A shared framework
for thoughtful work.
The service
DeckToClose provides private fundraising workflow software for issuer-controlled access, materials, qualification review, communication, electronic execution and closing records. The public website and fictional demonstration are not an offer of securities or an invitation to invest.
Plan pricing and billing
The issuer plan is $100 USD per month per account, covering its workspaces within the platform limits. Invited investors are not charged a platform subscription. Paid subscriptions are activated only through an available secure checkout and renew monthly until canceled. Billing shows the current plan, status and available subscription management options.
A valid complimentary code applies an ongoing 100% discount to the signed-in issuer account. No card is required for complimentary activation, and it does not automatically convert to a paid plan. An open paid checkout must be canceled, and an existing paid subscription must end, before complimentary activation. Code redemption does not issue a refund for prior charges.
When a plan is inactive, ordinary issuer changes require activation. Existing records and exports, investor access and actions that restrict access remain available. Review the pricing guide for current limits and instructions.
Issuer responsibilities
Issuers are responsible for their offering exemption, relationship assessments, accreditation decisions, disclosures, definitive documents, regulatory filings, banking instructions and acceptance of subscriptions. The current workflow supports Rule 506(b) and an accredited-investor-only policy chosen for this product. Issuers must obtain appropriate professional advice and approve documents before enabling execution.
Account and information accuracy
Use your own account and provide accurate information. Do not share access with unauthorized parties, impersonate another person, attempt to bypass controls, or upload material you are not authorized to use. An invitation is limited to the named recipient and remains subject to issuer approval and revocation.
Documents and electronic records
Definitive offering documents control the terms of any investment. Opening materials or submitting a questionnaire does not create an investment or guarantee acceptance. Electronic execution records identify an exact uploaded PDF using its cryptographic hash and retain the typed signature, consent, identity and time. They must be kept with the corresponding original document. The native record is not a certificate from an external e-signature provider.
Funds and completion
DeckToClose does not process, hold or transfer investor funds. Independently verify instructions before making a payment. Receipt amounts and completed closings shown in the workspace are recorded by the issuer and are not independent bank confirmations. There is no guarantee of investment outcomes or completion.
Confidentiality and appropriate use
Respect the issuer’s confidentiality acknowledgement and the rights of other participants. Do not redistribute confidential materials without authorization. Protect your account and notify the issuer through a trusted channel if you suspect improper access or inaccurate information.
Availability and limitations
Software can experience interruptions and errors. Keep copies of executed documents and essential records, and verify consequential decisions independently. DeckToClose does not provide investment, tax, legal or accreditation advice, and does not substitute for issuer oversight.
